How do I create my clause library?

The clause library is a collection of your clauses. In DiliTrust, it has multiple objectives:

  • It allows you to store clause models that can be accessed and reused from the platform.
  • Your clause models serve as reference clauses to compare them to the clauses identified within your contracts stored on DiliTrust, and thus identify the risky clauses of your contracts.

How to create your clause library?

Access your clause library from the homepage, on the left of your screen.


 

When you first enter your clause library, the different clause types identified by the artificial intelligence in your imported contracts will be displayed. You will then be able to select the ones you want to see in your clausier and start building from there.

Select the clause types you wish to have in your clause library among those suggested by the artificial intelligence.

Manually add the clause types of your choice:

  • Click on Add a clause at the bottom of the page
  • Enter the clause type you want to add in the page that opens
    • Select the clause type in the drop-down list 
    • If it's not in the list, click on Create a new type of clause
      Complete
      the information with the name of the type of clause in the different languages of your choice.



The list of the different clause types will appear on the left. You will see a yellow dot next to the clause type section you are in.

To delete a clause type, click on the garbage can on the right of its name. It will delete the clause type and any variants associated with it.

 


How to add variants?

After adding the clauses you want to use and see appear in your clause library, you can, for each of these clauses, add one or more variants.
You can either use a suggestion from the Artificial Intelligence or create your own clause template from scratch.

  • Choose a variant among the clauses that the artificial intelligence has recovered from your contracts on DiliTrust. One or more suggestions will be proposed to you. You can scroll through them with the arrows (as below). When a clause suits you, click on Select this clause, to add it to your clausier.

You can modify the selected clause to adapt to your needs : its title, the clause itself, as well as the risk level.

Save the modifications by clicking on add my clause.
If used in a contract template, any modifications done to the clause will impact the contract template it's in.

NB : Resetting the clause will not delete the variant itself, but will delete the text and allow you to write a new one.



  • Write a clause from scratch, without using a suggestion:
    • Select write my clause
    • Enter the name of the variant
    • Write the clause
    • Indicate if you wish to associate a risk level to it
    • Click on add my clause 

If you choose to indicate a risk level to the clause, it will be indicated on the clause variant. Associating a risk level, helps the artificial intelligence to identify the clauses at risk in your contract, by comparing them to a reference clause in your clause library.

How to add a variable?

Add variables in your clauses.

These variables can be completed when creating a contract from a template.


 

How to manage my clauses?

After adding a clause variant in your clause library, you can modify, add a comment to it, and access the contracts templates it's in.

  • Leave a comment to other users.
    It can describe the reasons a certain risk level was given to the clause.

  • Modify the clause by clicking on the edit icon on the left of the clause.
    The pop-up window reminds the user of the implications of editing the clause. It will impact the contract templates it is in.

  • Access the contract templates the clause is in.
    Click on the document icon to see the list of the contract templates with the clause in it. Select one of the templates to access it.

  • Filter your clauses according to the different tags.

  • Delete your clause variant by clicking on the trash can icon at the top right of the clause.
