How do I label the clauses in my contracts?

Modified on Tue, 5 Dec, 2023 at 7:43 PM

Beyond the automatic detection of the type of document and key information in your contracts, DiliTrust identifies an additional level of information within contracts: clauses.

DiliTrust divides each contract into clauses as soon as it is imported (for example, a clause designating the parties, a confidentiality clause, a personal data clause, etc.).

To learn more about how to complete the summary sheet, see the dedicated article.

View the clauses in my contract

The clauses appear on the contract to the left of the text. A clause is defined as a paragraph (block of text), with or without a title. Automatic recognition is based on the content of these, through the identification of the keywords present and their context.

The clauses appear:

  • In gray: Suggestion not validated and no reference clause available in the clausier;
  • In blue: Clause validated and added to the summary sheet.

Identify the clauses from my summary sheet

In the summary sheet, you can view the clauses that you are asked to identify within the contract.

In the example below, you must identify the clauses: Parties and Purpose of agreement.

To label a clause from the contract, you will have two scenarios:

  • The AI made a suggestion, and it can be validated, in this case:
    • Click on the magnifying glass icon to view the clause in the body of your contract;
    • Validate the suggested clause to automatically complete your summary sheet.
      If the block suggested by the AI does not correspond exactly to the desired one, you can resize the clause (see Section below "Resize a clause")

Label other clauses not suggested by the AI in my contract

If the AI has not made any suggestion and / or you wish to add a clause not included in your summary sheet, you will need to directly identify them within your document to label them.

To do this you will need:

  • Find the desired clause in the body of your contract;
  • Select the block of text corresponding to the clause (simply with your cursor click drag from the start to the end of the block concerned);
  • Find and select the corresponding type of clause;
  • The clause is automatically added to the summary sheet.

Resize a clause

If the clause suggested by the AI or selected in the document doesn't exactly match the information you want to save, you can resize the clause.

To do this :

  • Click on the wording of the clause (in the example below, the wording is "Responsibilities" and appears in blue in front of the clause concerned);
  • In the options window, click on Resize clause;
  • Click on the arrows appearing to modify the text contained in the clause;
  • Validate to save your changes by clicking on ✔️

Analyze the risk level of the clauses of my contracts

The DiliTrust artificial intelligence can help you identify the different clauses in your contract that differ compared to your reference clauses in your clause library (created beforehand).
