How do I negotiate my contract?

To negotiate your contract via DiliTrust, send it for internal review to your legal department, then send it for external review to your counterparty.



On DiliTrust, the negotiation phase consists of an internal review and then sending the contract to your counterparty for an external review .
This review can be triggered for each new version of the contract before all stakeholders agree.
 
This review workflow used during the negotiation differs from the validation workflow because in the first case it is a question of negotiating the contract to arrive at its final version (the contract remains modifiable), and in the other case it corresponds to formalizing the validation of the final version (the contract can no longer be modified).
Indeed, it should be noted that it is not possible to "negotiate" (that is to say send for proofreading) a contract that has already been validated or signed.

 

How to start an internal proofreading?



Click on internal review to ask for review for your document. You will be prompted to identify one or more proofreaders.

These reviewers must have a user account on DiliTrust. They will then be notified by email and invited to perform the requested review. Write a private message to each reviewer to give more guidance or context. Only the appropriate reviewer will see this message.



If you identify more than one, they will be notified one after the other.

 

Accept or decline an internal review 

When asked to review a document, you can either accept it and move to the next step or decline the version of this document.

  • If you decline:

Click on Edit. Text treatment tool you are using, you will be invited to make changes to the document or upload a new version. You can then choose to continue or start the workflow over.

 

  • If you accept the document, the review will move to the next step.


How to start an external proofreading?

Once the version has been internally reviewed, you can initiate an external review phase by clicking on Send and external review. Enter the name and email address of the person you wish to send the document to, and write them a personalized message for more context. If there are documents linked to your contract, choose to send one or all the documents at once.



The person will receive a mail and be asked to review the contract and the linked documents selected, through a dedicated secure webpage. They can visualize, download, and choose to either accept or decline this version of the document.


  • If they do not accept this version of the document:


Your co-contractor can choose to not accept the document and request changes.
They will be asked to leave a comment explaining their decision and can upload a new version of the document that will automatically be uploaded to DiliTrust.

 

 

From your account, you will be notified about the new version of the document. You can either accept the new version and move to the next step, or make your own changes to the document :

  • With Word or Google Doc: Open Word/Google Doc and make the changes of your choice.
  • With CK Editor: Upload a new version of the document

Once the changes are made, send your document to the co-contractor once again, and as many times as needed until both parties are satisfied.

 

  • If they accept the document:

If your co-contractor accepts the document, the document's status will change and the external review will be over. You can move to the next step.

 


Each new version imported on DiliTrust is kept and recorded in the version history, in order to track all the negotiated versions of your contracts.

How to finalize the review phase?

If the negotiation continues, you can then restart a review circuit by clicking on review if the contract needs to be reviewed again. You will then be invited to send your contract for internal or external review.


If the negotiation is finalized, you can proceed to the validation and signature steps by clicking on Validation and/or signature.
