How to create contract templates ?

You can create standard contract templates on DiliTrust, so that they serve as a basis for drafting new contracts.
These contract models allow you to save time, but also to make the content of your contracts more reliable and standardized.

To create and modify contract templates, you must have a role that gives you access to these features. To learn more about roles, see the dedicated article.

 

To create and modify your contract templates, go to the dedicated Templates of contracts section on the left of your screen.



To create a contract template, you will need:

 

Select the type of document for which you want to create a template

In the "Templates of contracts" section, click "Add document type". Find among the document types you use the one corresponding to the type for which you want to create a template.
For example: Service provision contract, Commercial lease, etc.

This new type of document will appear on the left of your screen in a list dedicated to the types of document to which contract templates are associated.


 

Create a contract template (from a Word document)

For each type of contract, you can create one or more templates, the content of which you can customize. Your users will then have the choice of using one or the other according to their needs and template visible to them.


For example, for the partnership contract you can have different models depending on the Directorate that uses it, the terms of the partnership (with / without an exclusivity clause), etc.

After selecting the type of contract for which you want to create a template, you can either duplicate an existing template or create a new template from another document.

  • To duplicate: click on the 3 dots next to an existing template and select duplicate. All the variables, conditions and clauses set up for the template will also be duplicated.
  • Start from a template: you can then load an already existing Word document to use it as a basis for setting up your template on DiliTrust.



After creating your first model, repeat the process to create other models.

 

Draft the body of your contract (fixed information)

Whether you start from a template in Word format or from a blank sheet of paper, you must distinguish two forms of content within your template:

  • Fixed content, which is the content that will appear as you wrote it in your contract template when your contract is generated on DiliTrust. It will be the same for all your contracts generated from the template. For example, your clauses will not vary, as well as some standardized blocks of text;

  • Variable content, that is to say the content that will be added to contracts based on the information filled in by the user generating the contract and which will vary from one contract to another. For example, the name of the counterparty, its registration number, the duration of the contract, etc.

This writing step works the same way as any word processing tool. You just have to type your content and format it as needed. The horizontal bar at the top of your document will allow you to do the formatting.

Configure the form for creating your contract

Your contract template contains data that will vary with each new contract.

Within the contract models, there are two types of content that adapts according to the contracts:

  • Variables: key information about your contract in the form of word, number, etc.
    ⚠️ These fields must correspond to attributes found in your summary sheet.
    For example: the name of your counterparty and its associated information (Siren, Amount of capital, etc.);

  • Free paragraphs: information added in the form of a paragraph, therefore to be written when creating your contract.

For example: Description of the service, List of partner's obligations, etc.

Insert clauses

Finally, you can also use your clause templates rom your clause book.
This way, by updating the clause template in your clause book, you automatically update all the template contracts in which you use this clause.
